MARKET REGULATIONS
Foreign Ownership Restriction
Foreign investors may own 100% of all listed stocks with some exceptions such as:

1) Sugar companies: Foreign ownership is restricted to 15% and the market’s approval is required for exceeding this level.

2) Banks: No single shareholder is permitted to own more than 10% of a listed bank

3) SBM Holdings: No single shareholder is permitted to own more than 3% of the voting rights

4) Rogers & Co Ltd: No single shareholder is permitted to own more than 10% of its issued share capital without the prior authorization of the Board

1) At 10% ownership of any sugar company by a foreign investor, a notification must be ma

2) At 10% ownership of any listed bank a disclosure must be made and this level can not be exceeded before the approval of Bank of Mauritius is granted.

Please note that an Investment Dealer has to report all transactions made by foreign investors to the SEM on a monthly basis.
